1. Agreement to Terms

By accessing or using Gridflo ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

Gridflo is a productivity application that provides:

• Task and project management
• Note-taking capabilities
• Habit tracking
• Calendar integration
• AI-powered assistance
• Schedule management
• Contact organization

3. User Accounts

Account Creation

• You must provide accurate and complete information
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 13 years old to use the Service
• One person or legal entity may maintain only one account

Account Security

• You are responsible for all activities under your account
• You must immediately notify us of any unauthorized use
• We are not liable for any loss from unauthorized account access

4. Acceptable Use

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to systems
• Harass, abuse, or harm other users
• Use the Service for illegal or unauthorized purposes
• Scrape, mine, or harvest data without permission
• Interfere with or disrupt the Service
• Create multiple accounts to evade restrictions

5. Content and Data

Your Content

• You retain ownership of content you create
• You grant us a license to use, store, and display your content as necessary to provide the Service
• You are responsible for backing up your own data
• You represent that you have rights to any content you upload

Our Content

• The Service and its original content (excluding user content) remain our property
• Our trademarks, logos, and brand features are protected
• You may not copy, modify, or distribute our content without permission

6. Third-Party Services

Integrations

• Google Calendar and Gmail: Subject to Google's Terms of Service
• AI Providers (routed via an AI gateway; providers may include OpenAI, Anthropic, Google, DeepSeek, xAI, and others): Subject to respective provider terms
• Stripe: Payment processing subject to Stripe's Terms of Service
• OAuth Providers: Subject to provider authentication terms

• We are not responsible for third-party services
• Third-party terms and privacy policies apply
• We do not guarantee third-party service availability

7. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to our collection and use of information as outlined in the Privacy Policy.

8. Intellectual Property

Our Rights

• All Service features, functionality, and content are owned by us
• Protected by copyright, trademark, and other laws
• License to use granted only for personal, non-commercial use

Your Rights

• You retain ownership of your content
• You grant us necessary rights to operate the Service
• You may export your data at any time

9. Payment and Billing

Subscription Plans

• Gridflo offers free and paid subscription plans. Features and usage limits vary by plan
• Paid subscriptions are billed on a recurring basis (monthly or annual) through Stripe, our payment processor
• By subscribing to a paid plan, you authorize us to charge your payment method on each billing cycle until you cancel

Cancellations

• You may cancel your subscription at any time from your account settings
• Cancellations take effect at the end of your current billing cycle. You will retain access to paid features until that date
• After cancellation takes effect, your account will revert to the free plan

Refunds

• Refunds are generally not provided for subscription fees already charged
• If there is a verified defect or material issue with the Service that substantially prevents you from using paid features, you may contact us at hello@gridflo.app to request a refund and we will review your case on an individual basis
• We reserve the right to issue refunds or credits at our sole discretion

10. Termination

By You

• You may terminate your account at any time
• Request account deletion through settings
• Data deleted within 30 days of termination

By Us

We may terminate or suspend your account immediately if:

• You violate these Terms
• You engage in fraudulent activity
• Required by law
• Service is discontinued

11. Disclaimers and Limitations

Service Availability

• Provided "AS IS" and "AS AVAILABLE"
• No warranties of uninterrupted or error-free operation
• We may modify or discontinue features without notice

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: We are not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount paid by you in the past 12 months. We are not responsible for lost profits, data, or business opportunities.

12. Artificial Intelligence Features

Gridflo includes AI-powered features such as chat assistants, email processing, automatic tagging, task suggestions, and content analysis. By using these features, you acknowledge and agree to the following:

• AI features are provided on an "AS IS" basis. AI-generated content may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and verifying any AI-generated output before relying on it
• We make no warranty regarding the accuracy, reliability, or suitability of AI-generated content for any particular purpose
• AI requests are processed through a gateway that routes to third-party AI providers. The specific provider used may change at any time. Your use of AI features is also subject to the terms and policies of the underlying AI providers
• AI features may be considered experimental. We may modify, limit, or discontinue AI functionality at any time without prior notice
• You should not input sensitive personal information, confidential business data, or legally privileged content into AI features unless you accept the risk that such content may be processed by third-party providers
• We are not liable for any decisions made or actions taken based on AI-generated content

13. Fair Use Policy

Gridflo's AI features are powered by large language models (LLMs) operated by third-party providers. Because these features carry a real cost per request, we ask all users to use them responsibly. This Fair Use Policy applies to all AI-assisted functionality within the Service, including but not limited to the AI chat assistant, automatic tagging, email summarisation, and scheduling suggestions.

Reasonable Use

AI features are intended for your personal productivity use within Gridflo. Reasonable use means using AI features at a level consistent with genuine personal or professional productivity needs — for example, analysing your own tasks, notes, and emails, or having natural conversations with the AI assistant to organise your work.

Prohibited LLM Usage

You must not use AI features to:

• Send automated, scripted, or bulk requests at a volume that would not occur through normal human interaction
• Use Gridflo as a proxy or relay to access underlying LLM APIs — AI features are provided solely as part of the Gridflo productivity experience
• Attempt to extract, reproduce, or reverse-engineer the system prompts, model weights, or training data of any AI provider
• Generate content that is illegal, harmful, harassing, defamatory, or that violates the terms of any underlying AI provider
• Resell, sublicence, or otherwise commercialise access to AI features provided through Gridflo
• Deliberately circumvent usage limits, rate limits, or content filters through prompt injection, jailbreaking, or similar techniques

Usage Limits and Enforcement

• We may apply rate limits or usage caps to AI features at any time to protect service availability for all users. Specific limits may vary by subscription plan
• If we determine, at our sole discretion, that your use of AI features is excessive, abusive, or in violation of this policy, we may throttle, suspend, or terminate your access to those features without prior notice
• Repeated or severe violations may result in termination of your account in accordance with Section 10 (Termination)

14. Analytics

We use analytics tools to understand how the Service is used and to improve the user experience. By using the Service, you consent to the collection of usage data as described in our Privacy Policy. You may limit certain analytics and advertising tracking through your browser settings or by using third-party opt-out tools.

15. Mobile Applications

Gridflo is available as a mobile application on the Apple App Store. The following additional terms apply to your use of the mobile application:

• Your use of the mobile application is also subject to the Apple Media Services Terms and Conditions and any applicable App Store policies
• Push notifications may be sent to your device for task reminders, habit reminders, and other service-related alerts. You can opt out of push notifications through your device settings
• Apple is not responsible for the mobile application or its content. Any claims relating to the mobile application should be directed to us, not to Apple
• We are responsible for addressing any claims relating to the mobile application, including product liability, legal compliance, and intellectual property claims

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Australia, and you consent to the personal jurisdiction of such courts.

17. Dispute Resolution

If you have a dispute with us, you agree to first attempt to resolve it informally by contacting us at hello@gridflo.app. We will attempt to resolve the dispute within 30 days. If the dispute is not resolved informally, either party may pursue formal proceedings in accordance with the Governing Law section above.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gridflo regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral, regarding the subject matter herein.

20. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting. Continued use after changes constitutes acceptance of new Terms.
